Licensing vs Selling Company Data: What's the Difference?
Most AI data deals are licenses, not sales. Here's what that means for ownership, price and what you can do with your data afterward.
For the dated deal sizes behind these numbers, see the value of data.
A license gives the buyer the right to use defined data for defined purposes, usually AI training and evaluation, for a set term. You keep ownership and can keep using the data. An outright sale transfers ownership. Most AI data deals are licenses. Read the contract to see which one you're signing.
Licensing vs selling company data, side by side
| License | Outright sale | |
|---|---|---|
| Who owns the data after | You do | The buyer |
| Can you keep using it | Yes | Only if the contract lets you |
| Scope | Defined data for defined uses | Usually everything transferred |
| Term | Set period, sometimes perpetual | Permanent |
| Can you license it again | Yes, unless it's exclusive | No |
| Common in | Operating companies licensing records | Bankruptcies and asset sales |
Why most deals are licenses
Buyers want the right to train on the data, not the burden of owning your company's records. You want to keep running the business on them. A license fits both. In a bankruptcy or liquidation, records are more often sold outright as an asset, like Spirit Airlines' emails and chats, which drew a $10 million winning bid from Google in 2026 (sale pending court approval).
Exclusive vs non-exclusive
An exclusive license stops you licensing the same data to anyone else, so it should pay more. A non-exclusive license leaves you free to license it again. Ask which one you're being offered and what the price difference is.
Terms that decide which one you really signed
- Grant language. "Licenses" vs "assigns" or "transfers all right, title and interest".
- Term and termination. How long it lasts and what happens to the data when it ends.
- Field of use. Training and evaluation only, or any purpose.
- Sublicensing. Whether the buyer can pass it to labs, and on what conditions.
- Retained rights. Confirmation that you can keep using your own records.

Tax and accounting
License income and a sale of an asset can be treated differently for tax purposes. Ask your CPA before you choose a structure.

Common questions
Do I lose my data if I license it?
No. You keep ownership and can keep using it. The buyer gets defined rights for a defined term.
Is licensing worth less than selling?
Not necessarily. Non-exclusive licenses can pay well because the buyer doesn't take on ownership. Exclusive licenses should pay more.
Can I license the same data to two buyers?
Yes, if neither license is exclusive.
Which do AI data buyers usually want?
A license covering training and evaluation. Outright sales are more common in bankruptcy.
